Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the TeamTipOut mobile application (“App”) operated by TeamTipOut (“we”, “our”, or “us”).

1. Acceptance of Terms

By downloading, accessing, or using TeamTipOut, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App. Continued use of the App after any changes to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

TeamTipOut is a tip calculation and distribution tool designed for restaurant and hospitality workers in the United States. The App allows users to log shifts, calculate tipout amounts based on configurable models, manage teams, track tip distribution history, and export reports. TeamTipOut is a calculation tool only and does not provide financial, tax, or legal advice.

3. Eligibility

You must be at least 13 years of age to use the App. By using the App, you represent that you meet this age requirement.

4. User Accounts

You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account. You agree to notify us immediately of any unauthorized use of your account.

5. Subscriptions and Payments

TeamTipOut offers the following auto-renewable subscription plans:

• Pro Monthly — $4.99 per month
• Pro Annual — $34.99 per year
• Restaurant Monthly — $24.99 per month
• Restaurant Annual — $249.99 per year

Payment and Renewal

• Payment is charged to your Apple ID account (or Google Play account, as applicable) at confirmation of purchase.
• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
• You can manage and cancel your subscriptions by going to your account settings in the App Store or Google Play Store after purchase.

Free Trials

• If offered, a free trial period grants access to subscription features at no charge for the specified duration.
• Any unused portion of a free trial is forfeited when you purchase a subscription.
• At the end of the free trial, your subscription will automatically convert to a paid subscription unless cancelled at least 24 hours before the trial ends.

Price Changes

Prices are in United States Dollars (USD) and may vary by region. We reserve the right to change subscription prices. Any price changes will take effect at the start of the next billing period following notice of the change.

Refunds

Refunds are handled according to the refund policies of the Apple App Store or Google Play Store, as applicable.

6. Free Tier

Certain features of the App are available without a subscription, subject to usage limits (e.g., a limited number of daily calculations, restricted history access). These limits may change at our discretion.

7. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to gain unauthorized access to any part of the App or its systems
• Interfere with or disrupt the App or its infrastructure
• Upload malicious code or content
• Impersonate another user or person
• Use the App to harass, abuse, or harm others
• Reverse-engineer, decompile, or disassemble the App

8. Intellectual Property

The App, including its original content, features, design, and functionality, is and remains the exclusive property of TeamTipOut and is protected by copyright, trademark, and other applicable laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

9. User Data and Privacy

Your use of the App is also governed by our Privacy Policy, available at https://teamtipout.com/privacy. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

10. Disclaimer of Warranties

The App is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure. Tip calculations provided by the App are estimates based on user-provided data and configurable settings. We are not responsible for the accuracy of calculations resulting from incorrect data entry or configuration.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TeamTipOut, its owners, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the App, whether based on warranty, contract, tort, or any other legal theory.

12. Indemnification

You agree to indemnify and hold harmless TeamTipOut and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App or violation of these Terms.

13. Termination

We may terminate or suspend your access to the App immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may delete your account at any time through the App settings. Upon account deletion, all data associated with your account will be permanently removed from our systems, subject to any legal retention obligations.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the “Last updated” date at the top of this page and, where practicable, through in-app notification. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Romania.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TeamTipOut regarding your use of the App and supersede any prior agreements.
